Glanbia is a subsidiary of Glanbia Co-operative Society Limited ('the
Society'). The Society nominates from its Board of Directors, which is
elected on a three-year basis, 14 of the 18 non-executive Directors for
appointment to the Board of Glanbia plc. The Society, an Irish
industrial and provident society, owns 54.7% of the share capital of
Glanbia and many of its members supply milk and trade with Irish
subsidiaries of the Group. The remaining Directors comprise three
executive Directors and four non-executive Directors.
John Moloney B.Agr.Sc., MBA, (aged 54) is Group Managing Director since
2001, having been appointed to the Board in 1997. He joined the Group in
1987 and held a number of senior management positions including Chief
Executive of Food Ingredients and Agribusiness. He was appointed Deputy
Group Managing Director in 2000 and assumed the responsibilities of
Chief Operating Offi cer in 2001. Prior to joining the Group he worked
with the Department of Agriculture, Food and Forestry and in the meat
industry in Ireland. He is a director of The Irish Dairy Board
Co-operative Limited, DCC plc and a Council Member of the Irish Business
and Employers Confederation.
Kevin Toland FCMA, (aged 43) was appointed to the Board in 2003. He is
CEO and President of Glanbia USA and Nutritionals, having previously
held the positions of Group Development Director and Chief Executive of
the Consumer Foods Division. Prior to joining Glanbia in 1999, he held a
number of senior management positions with Coca-Cola Bottlers in Russia
and with Grand Metropolitan plc in Ireland and Central Europe.
John Callaghan FCA, FIB, (aged 66) was appointed to the Board in 1998
and is the Senior Independent Director. He is a director of ACC Bank plc
and Rabobank Ireland plc. He was formerly Managing Partner of KPMG
(Ireland), Chief Executive of Fyffes plc and Chairman of First Active
plc.

Liam HerlihyChairman
Liam Herlihy (aged 57) is Chairman of Glanbia plc. He was appointed to
the Board in 1997, as Vice-Chairman of the Group in 2001 and Chairman in
May 2008. He is also Chairman of Glanbia Co-operative Society Limited
and a director of the Irish Co-operative Organisation Society Limited.
He completed the Institute of Directors Development Programme (2006) and
holds a certifi cate of merit in Corporate Governance from University
College Dublin. He farms at Headborough, Knockanore, Tallow, Co.
Waterford.
Victor Quinlan1 B.Agr.Sc., (aged 63) is Vice-Chairman of Glanbia plc. He
was appointed to the Board in 1996 and as Vice-Chairman in 2005. He is
Chairman of Irish Co-operative Society Limited and a director of Malting
Company of Ireland Limited. He farms at Baptistgrange, Lisronagh,
Clonmel, Co. Tipperary.

Henry Corbally
Henry Corbally1 (aged 54) was appointed to the Board in 1999. He is
Vice-Chairman of the National Dairy Council and a director of
Kilmainhamwood Community Employment Scheme Limited. He farms at
Kilmainhamwood, Kells, Co. Meath.

Nicholas Dunphy
Nicholas Dunphy, (aged 48) was appointed to the Board in 2007. He farms
at Grawn, Kilmacthomas, Co. Waterford.
John Fitzgerald (aged 53) is Vice-Chairman of Glanbia plc. He was fi rst
appointed to the Board in 1997 and was appointed Vice-Chairman in May
2008. He farms at Ross, Kilmeaden, Co. Waterford.

Edward Fitzpatrick
Edward Fitzpatrick (aged 60) was appointed to the Board in 1999. He is a
director of South Eastern Cattle Breeding Society Limited and Castlegannon
Show Limited. He farms at Knockmoylan, Mullinavat, Co. Kilkenny.

James Gilsenan
James Gilsenan1 (aged 49) was appointed to the Board in 1999. He farms
at Drogheda Road, Collon, Co. Louth.

Patrick Gleeson
Patrick Gleeson (aged 47) was appointed to the Board in 2006. He is a
Committee Member of Centenary Thurles Co-operative Society Limited and
farms at Loughmore, Templemore, Co. Tipperary.

Paul Haran
Paul Haran (aged 51) was appointed to the Board in 2005. He serves on
the Court of Directors of the Bank of Ireland, Chairs the Board of the
UCD Michael Smurfi t Graduate School of Business and holds a number of
other directorships.

Christopher Hill
Christopher Hill B.Agr.Sc., (aged 50) was appointed to the Board in
2000. He is a director of Wicklow Rural Partnership Limited and Wicklow
County Partnership and a member of the Wicklow County Development Board.
He farms at Johnstown House, Arklow, Co. Wicklow.

Martin Keane
Martin Keane (aged 53) was appointed to the Board in 2006. He is a
director of Donaghmore Famine Work House and Agricultural Museum
Co-operative Society Limited. He farms at Errill, Portlaoise, Co. Laois.

Jerry Liston
Jerry Liston B.A., MBA, (aged 68) was appointed to the Board in 2002. He
is Chairman of the Irish Aviation Authority. He was formerly Chief
Executive of United Drug plc and past Executive Chairman of the Michael
Smurfit Graduate School of Business.

Matthew Merrick
Matthew Merrick (aged 57) was appointed to the Board in 2005. He is
Chairman of the Offaly County Enterprise Board and a board member of
IFAC Accountants. He farms at Shean, Edenderry, Co. Offaly.

William Murphy
William Murphy B. Comm, (aged 63) retired as Deputy Group Managing
Director of Glanbia plc in 2005. He was appointed to the Board in 1989.
He is a director of Aryzta plc and a number of unlisted companies.

James Gannon
James Gannon (aged 59) was appointed a Non-Executive Director of Glanbia
plc on 27 May 2009. He is also a Director of Glanbia Co-operative
Society Limited and farms at Oldtown, Ballyragget, Co. Kilkenny.
Michael Horan (B.Comm, FCA) (aged 44), was appointed Group Secretary of
Glanbia plc in June 2005, having previously held the position of Group
Financial Controller since June 2002. He joined the Glanbia Group in
1998 as Financial Controller of the Fresh Pork business in Ireland.
Michael previously worked with BDO Simpson Xavier, Gilroy Gannon & Co.,
and Almarai Company Ltd in Saudi Arabia.
Siobhan Talbot (B.Comm, FCA) (aged 45), joined the Board as Group
Finance Director on the 1 July 2009. She was appointed Deputy Group
Finance Director of Glanbia plc in June 2005 and held the position of
Group Finance Director Designate since March 2009. She was formerly
Group Secretary and also held a number of senior finance positions,
since she joined the Group in 1992. Prior to joining the Group she
worked with PriceWaterhouseCoopers in Dublin and Sydney, Australia.

Brian Phelan
Brian Phelan (B. Comm, FCA) (aged 41), is Group Human Resources &
Operations Development Director of Glanbia plc. Brian was appointed to
his Human Resources role in 2004 and his role was expanded in May 2007
to include Operations Development. Prior to this he was Chief Financial
Officer of the Consumer Foods Division. He also worked in Glanbia
Ingredients in Ireland and the USA. Prior to joining the Group in 1993
he worked with KPMG.

Jim Bergin
Jim Bergin (B. Comm, MSc Mngt Practice) (aged 45), is CEO Food
Ingredients Ireland. He joined the Group in 1984 and has held a number
of senior positions including Group IT Manager and subsequently Group
Business Process Director. He joined the Ingredients Business as
Operations Manager in May 2003 and was appointed Chief Executive in
March 2005.

Colin Gordon
Colin Gordon (BBS, MBS, FMII) (aged 46), is Chief Executive of Glanbia
Consumer Foods Ireland. He joined the Group in March 2006. He previously
worked in C&C Group plc, the drinks and snack food company where he held
a number of senior positions, including Managing Director of C&C
(Ireland) Ltd.

Anthony O'Connor
Anthony O’Connor (aged 57) was appointed to the Board in May 2008. He
farms at Ballymacsimon, Kilmuckridge, Gorey, Co. Wexford.

Robert Prendergast
Robert Prendergast (aged 47) was appointed to the Board in May 2008. He
farms at Jeanville, Goresbridge, Co. Kilkenny.
